Welcome to Qivio. These Terms of Service ("Terms") govern your use of our website and services. By using Qivio, you agree to these Terms.

1. Description of Service

Qivio is an AI-powered service that allows you to chat with YouTube video content. Our service processes YouTube video transcripts and uses artificial intelligence to answer your questions about the video content.

2. Account Registration

• You must provide a valid email address to create an account
• You must be at least 16 years old to use the Service
• You are responsible for maintaining the security of your account credentials
• You agree to notify us immediately of any unauthorized access to your account

3. Acceptable Use

You agree NOT to use the Service to:

• Violate any applicable laws or regulations
• Infringe on intellectual property rights of others
• Upload or process content that is illegal, harmful, or offensive
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the Service
• Use automated systems to access the Service without permission
• Resell or redistribute the Service without authorization

4. Subscription Plans and Payment

4.1 Free Plan

The Free plan includes limited usage (3 videos and 50 messages per month) at no cost. Usage limits reset on the first of each calendar month.

4.2 Pro Plan

The Pro plan offers increased usage limits (50 videos and 1,000 messages per month) for a monthly or annual subscription fee. Pro subscriptions include a 7-day free trial for new subscribers.

4.3 Billing

• Subscriptions are billed in advance on a monthly or annual basis
• All fees are charged in USD
• Prices are subject to change with 30 days notice
• You authorize us to charge your payment method for subscription fees

4.4 Cancellation

• You may cancel your subscription at any time
• Cancellation takes effect at the end of your current billing period
• No refunds are provided for partial billing periods
• You retain access to Pro features until the end of your paid period

4.5 Refund Policy

Refunds may be provided at our discretion within 14 days of your initial subscription purchase if you have not substantially used the Service. Contact support for refund requests.

5. Intellectual Property

5.1 Our Content

The Service, including its design, features, and code, is owned by us and protected by intellectual property laws. You may not copy, modify, or distribute our Service without permission.

5.2 Your Content

You retain ownership of content you create using the Service. By using the Service, you grant us a limited license to process your content as necessary to provide the Service.

5.3 YouTube Content

YouTube videos and their transcripts are owned by their respective creators. Our Service processes publicly available transcripts for your personal use. You are responsible for ensuring your use of video content complies with YouTube's Terms of Service and applicable copyright laws.

6. AI-Generated Content

• AI responses are generated based on video transcripts and may contain errors
• AI responses should not be relied upon for medical, legal, financial, or other professional advice
• We do not guarantee the accuracy, completeness, or reliability of AI-generated content
• You are responsible for verifying any information before acting on it

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.

9. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.

10. Service Modifications

We reserve the right to modify, suspend, or discontinue the Service at any time, with or without notice. We will provide reasonable notice for significant changes affecting paid subscribers.

11. Account Termination

We may terminate or suspend your account if you:

• Violate these Terms
• Engage in fraudulent activity
• Abuse the Service or other users

Upon termination, your right to use the Service ceases immediately.

12. Governing Law

These Terms are governed by the laws of Poland. Any disputes shall be resolved in the courts of Poland, without regard to conflict of law principles. For EU consumers, this does not affect your statutory rights under local consumer protection laws.

13. Dispute Resolution

Before filing a legal claim, you agree to try to resolve the dispute informally by contacting us. If the dispute is not resolved within 30 days, either party may proceed with legal action.

EU consumers may use the European Commission's Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr.

14. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the new Terms on this page and updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the new Terms.
